T & T Notary and its third-party affiliates will act as the registered agent for your business which includes being listed as the registered office address with the applicable state authority.

I understand that the business's physical address (commercial mailing address), officer's address, member's address, manager's address, and regular mailing address should be different from the Registered Agent's address.

I understand that the assigned Registered Agent will be responsible for receipt, signature, and acceptance of Service of Process notifications sent to them and Service of Process documents are typically scanned and uploaded to the person of contact within 24 hours of receipt.

I understand that T & T Notary nor its third-party affiliates will not upload any junk mail, regular mail or packages sent to the Registered Agent's address. Packages arriving at the Registered Agent's office will be refused upon delivery or returned to their location of origin if immediate refusal is not possible.

In the event that neither refusal nor return of a package is an option, I will be informed that it is in your possession. It will be held for 10 days from the date of receipt and notified before properly disposing of the item. If I would like the package delivered to the address associated with my account, I will be responsible for all shipping cost associated with the shipment.

I understand that I may request the physical copy of an uploaded document within 40 days of receipt. There is no guarantee fulfillment of a request for physical copies after 45 days.

I understand that if I use the assigned Registered Agent's address for a company or state that I have not paid and hired T & T Notary and its third-party affiliates for, all mailings will be locked and will incur a payment due of half of my annual rate to unlock service. If I activate an additional Registered Agent service, the document can be unlocked at no additional fee.

I understand that T & T Notary nor its third-party affiliates do not and are not able to verify online seller's verification cards such as Amazon, Google, Walmart, Bing, etc,

I understand that T & T Notary and its third-party affiliates must act in conformity and compliance with all applicable federal, state, and local laws and regulations for the services.

I understand that payment for the Registed Agent service is due within 30 days of the date of the issued invoice. And that I am responsible for renewing service every year and ensuring all information is accurate and up to date.

I understand and agree that either party may terminate this agreement by providing a written notice 6 months'in advance to the other party for any reason. If terminated, it is my obligation to pay T & T Notary and its third-party affiliates all amounts due and owing up to the Effective Date of Termination. Terminated services will end at the end of the paid year of service.

I understand that there are no refunds for termination of service in a previously paid year.

I indemnify & hold harmless T & T Notary & its third-party affiliates, officers, directors, employees, agents, shareholders, representatives, sub-licensees, successors, & assigns arising out of your breach of this agreement. This applies to any claim or proceeding where they are a party to an action when they acted in a role as a registered agent, address provider, incorporator (in any form). etc.

I agree to pay all T & T Notary and its third-party affiliates legal costs and fees in any defense they become involved in that includes me.

Please note that cancelling service does not initiate a filing to remove T & T Notary or any of its third-party affiliates from any state record. However, T & T Notary and its affiliates reserves the right to remove or resign as registered agent which you acknowledge and agree that it may result in your entity being in default, lose any acquired licenses, good standing or approval to perform work.

I understand that the required resignation forms must be submitted by me to the appropriate state agency as long as all state requirements have been met prior to submission. I must make reasonable efforts to notify all my clients of all service cancellations and prohibit from using a "change of address" or "mail forwarding" request with the USPS using the assigned Registered Agent's address.

We do not sell or share any of our client's personal or account information. Customer information is secured with T & T Notary and our third-party affiliates that are associated with maintaining and administering your account and services. All information provided to T & T Notary and its third-party affiliates, it is kept strictly confidential.
